Terms of Service

These terms are the agreement between you and CLR3 Ventures (“we”, “us”), an Ontario, Canada business, for the quants.sh service. By creating an account you accept them. Please read the risk disclosure too because it is part of this agreement.
[01]The service
quants.sh gives you a dedicated virtual machine located near Solana infrastructure, private network access to Solana data feeds (RPC, WebSocket, gRPC, event streams, shreds on eligible plans), a transaction submission path, a web workspace (editor, terminal, agent pane, paper and live session controls) and SSH access. We operate the machine, the feeds and the workspace. You write, run and are responsible for the software on the machine.
We are infrastructure. We are not a broker, an exchange, a custodian, a wallet provider or an investment adviser, and nothing in the service is financial advice.
[02]Your account
You must be at least 18 and able to enter a binding contract. Keep your password and two-factor device private; everything done with your credentials is yours. Tell us at support@mail.quants.sh as soon as you suspect unauthorised access. One person per account; you may not resell access.
[03]Your machine
Your machine is a single-tenant virtual server with a public IP address and root-equivalent access. You may install any software and open any port you choose. You are responsible for what it does, including its traffic, its security and its compliance with law. We may stop a machine that attacks other systems, is compromised, or materially degrades the shared network, and we will tell you when we do.
We keep your files while your plan is active and for as long as your account exists after cancellation (see section 8). We do not open or read your files except to diagnose a fault you ask us to look at, or as required by law.
[04]Agents and third-party tools
Claude Code and Codex are installed on your machine for convenience. They are operated by Anthropic and OpenAI under their own terms; you sign in with your own subscription and pay them directly. Provider credentials stay on your machine. The quants.sh control plane relays browser prompts and transcript events in plaintext at the application layer over TLS; the relay is not end-to-end encrypted from our infrastructure. We do not use that content to train models or intentionally retain it after relay. Whatever an agent writes or runs on your machine is treated as done by you.
[05]Keys and funds
We never hold, see or manage your private keys. Any keypair your code or your agent uses for trading lives on your machine under your control. Losing it, leaking it or having it drained by your own software is not something we can reverse or compensate. Fund trading wallets with amounts you can afford to lose.
[06]Transactions and balance
Live submissions through the transaction path are paid from a transaction balance you fund in SOL from your quants.sh wallet. The per-submission price is shown in the app before you fund it and can change with notice; the balance is debited only for submissions that are accepted into the path. Refused submissions are free. Paper sessions simulate and never charge. Balances are not interest-bearing and are refundable on request for the unused remainder, less network costs, within 30 days of closing your account.
A submission being accepted does not mean the transaction lands, lands first, or achieves any outcome. See the risk disclosure.
[07]Plans and billing
Everything on quants.sh is paid in SOL. We accept no cards, no bank transfers and no other currency. You fund a wallet inside your account by sending SOL to our treasury address with your deposit code as the memo; deposits are credited once final on the Solana network. Plans are prepaid for 30 days from that wallet, starting the day the first payment is credited, and renew automatically from it. Prices are shown in SOL before you pay. One fifth of every plan payment is granted as AI credit for the agent; unused AI credit does not expire while the account exists and is not refundable. Upgrades take effect immediately and the difference for the rest of the period is taken from your wallet; downgrades take effect at the next renewal. There is no free trial.
On winning live trades we take a performance fee from the profit, at the rate shown for your plan before you go live (currently 5%, 2% or 1% by plan). Losing trades pay no fee. Fees are taken from your wallet and itemised in your statement.
If your wallet cannot cover a renewal we email you. After 7 days past due the machine is suspended; it resumes automatically once the wallet covers the renewal. When a plan ends, the machine is stopped; export your work before then. Unused wallet balance is refundable on request, less network costs, within 30 days of closing your account. We are not responsible for SOL sent without the correct memo or to the wrong address, but we will help attribute it where we can.
[08]Cancellation
Cancel any time from Billing; your plan runs to the end of the paid period, then the machine is stopped, not deleted. Projects, images, agent sessions and the ledger stay on disk, and reactivating starts the same machine. We may delete a stopped machine after 12 months of inactivity, with at least 30 days' email notice. You can delete your account yourself at any time once the plan has ended; that destroys the machine immediately.
[09]Acceptable use
Do not use the service to break the law where you or we are located; attack, scan or flood systems you do not own; mine proof-of-work currencies; host content that infringes others' rights; or circumvent the feed access we provide (for example, sharing feed credentials or proxying feeds to third parties). Trading strategies, including aggressive ones, are fine; harming the network or other customers is not.
[10]Availability
We aim for the feeds and the transaction path to be available continuously and we monitor them around the clock, but we do not promise uninterrupted service. Upstream chain behaviour, validator restarts, network events and maintenance can interrupt data or submissions. Box software updates are applied with notice where possible and never while a live session is running without your action.
[11]Liability
To the fullest extent the law allows, the service is provided “as is”. We are not liable for trading losses, missed opportunities, transactions that fail, land late or land in an unintended order, lost or stolen keys, data loss on your machine, or actions of your software or your agent. Our total liability for any claim is limited to the fees you paid us in the three months before the claim. Nothing here limits liability that cannot be limited under Ontario law.
You agree to indemnify us against claims arising from your use of the machine, your software, your trading or your breach of these terms.
[12]Changes and contact
We may update these terms; material changes are emailed at least 14 days before they take effect, and continuing to use the service after that is acceptance. These terms are governed by the laws of Ontario and Canada, and disputes are heard in the courts of Ontario. Contact: support@mail.quants.sh.
